Terms of Service

These Terms of Service (the “Terms”) govern your use of the websites and services of Jazital (“Jazital”, “we”, “us”, “our”), including jazital.com, store.jazital.com, checkout.jazital.com, my.jazital.com and any other Jazital subdomain (together, the “Sites”), and your purchase and use of our software products and agency services.

By using the Sites, buying a product, or engaging us for services, you agree to these Terms. If you are acting for a company, you confirm you have authority to bind it. If you do not agree, do not use the Sites.

1. Who we are

Jazital is a digital agency and software company. We provide web development, design, mobile application development, e-commerce and hosting services to clients, and we develop and sell our own software products — including WordPress plugins, themes and applications — through our online store. 2. Purchases and payment

  • Prices are shown at checkout in the currency offered for your product and location. Taxes may be added where applicable.
  • Payments are processed by independent payment providers (which may include Stripe, PayPal, Paystack, Flutterwave and other authorised partners shown at checkout). We never see or store your payment credentials.
  • Merchant of record. For some purchases, an authorised payment partner may act as the merchant of record: that partner is the seller of record for the transaction, processes your payment, handles applicable sales tax or VAT, and its own checkout terms — shown to you at checkout — also apply to that purchase.
  • Subscriptions and renewals. Some products are sold as subscriptions with a fixed term (for example, one year). Where auto-renewal applies it is disclosed at checkout, and you can cancel renewal at any time before the renewal date from the customer portal or by contacting us. If a renewal payment fails, we will tell you; access tied to the subscription may end when it lapses.
  • Order confirmation, your receipt and your licence key (where the product uses one) are delivered by email and through the customer portal.

3. Licences for our software products

When you buy one of our software products you are buying a licence, not the copyright. The plan you choose determines the licence terms shown at purchase — including how many sites, devices or seats the product may be activated on, how long updates and support run, and whether the licence renews.

  • A licence may be activated up to the number of sites or devices its plan allows. You can deactivate a site or device in the customer portal to free a slot.
  • Licence keys are for your use (or your client’s single deployment where the plan allows). Sharing, publishing, reselling or circumventing licence keys or licence checks is prohibited and is grounds for revocation without refund.
  • Updates and support are provided while the licence or subscription is active. When it expires, the software you have keeps working where the product allows, but updates, new features and support stop until it is renewed.
  • Suite and bundle licences grant access to each product named in the bundle for as long as the underlying subscription lasts.
  • We may revoke a licence obtained fraudulently (for example through a chargeback on a completed delivery or a stolen payment method).

WordPress plugins and the GPL

Our WordPress plugins and themes are distributed under the GNU General Public License (v2 or later), as WordPress requires. The GPL governs the code itself. Your paid licence governs the services around it: licence keys, automatic updates, new versions and our support. Buying one licence and requesting support or updates for unlicensed installations is not permitted.

4. The customer portal

The portal at my.jazital.com lets you see your licences, activations, downloads, subscriptions and receipts. Sign-in uses one-time email links; keep access to your email account secure, because anyone with your inbox can access your portal. Tell us promptly if you believe your account is being misused.

5. Agency and client services

Where you engage us for services (web development, design, mobile apps, e-commerce builds, hosting), the engagement is defined by the proposal, quote or statement of work we agree with you, which prevails over these Terms if they conflict. Unless that document says otherwise:

  • Work begins after any agreed deposit is received, and deposits are non-refundable once work has started.
  • You are responsible for the content, licences and legality of materials you supply.
  • Third-party costs (domains, licences, app store fees, hosting bought on your behalf) are payable in addition and are non-refundable once incurred.
  • Intellectual property in bespoke deliverables transfers to you on full payment, excluding our pre-existing tools, libraries and know-how, which we licence to you for use in the deliverable.

6. Acceptable use

You agree not to:

  • Use the Sites or products for anything unlawful, or to infringe anyone’s rights.
  • Interfere with, probe or disrupt the Sites, the licensing service or other customers.
  • Misrepresent yourself, or use another person’s payment details without authority.
  • Copy, scrape or republish Site content beyond what the law allows.

7. Refunds

Refunds are governed by our Refund Policy, which is part of these Terms. In short: our software products carry a 14-day money-back guarantee, subject to the conditions in that policy; where a payment partner acted as merchant of record for your purchase, the refund is handled with that partner.

8. Disclaimers

The Sites and products are provided “as is” and “as available”. We warrant that paid products will substantially work as described; beyond that, to the fullest extent the law allows, we disclaim implied warranties of merchantability, fitness for a particular purpose and non-infringement. We do not warrant that products will be error-free or uninterrupted, or that they will work with every combination of third-party software, themes, plugins or hosting.

9. Limitation of liability

To the fullest extent the law allows: (a) neither party is liable for indirect, incidental, special or consequential loss, or loss of profits, revenue, data or goodwill; and (b) our total liability arising out of or relating to a product or service is limited to the amount you paid us for that product or service in the twelve months before the claim arose. Nothing in these Terms excludes liability that cannot lawfully be excluded, including for fraud.

10. Indemnity

You will indemnify us against claims, losses and costs arising from your unlawful use of the Sites or products, your breach of these Terms, or content and materials you supply.

11. Termination

We may suspend or terminate access to the Sites, the portal or a licence for material breach of these Terms — including licence abuse or fraud — after notice where practicable. Sections that by their nature survive (licence restrictions, disclaimers, limitation of liability, governing law) survive termination.

12. Governing law and disputes

These Terms are governed by the laws of the Federal Republic of Nigeria, and disputes are subject to the exclusive jurisdiction of the Nigerian courts — except that where a payment partner acted as merchant of record for your purchase, the buyer terms you agreed with that partner govern the payment transaction itself. Nothing in this section deprives you of consumer protections that the law of your country of residence grants you and that cannot be waived by contract.

13. Changes to these Terms

We may update these Terms from time to time. The “Last updated” date shows the current version; material changes will be announced on the Sites or by email. Changes apply from their effective date and do not retroactively alter the terms of a purchase you have already made. We also advise you to review these terms from time to time to keep updated with any changes.
